Terms & Conditions

Clients are expected to provide timely access to analytics, website administrative interfaces, and other relevant platforms, including but not limited to FTP, Google Console, and AdWords. Clients must also respond promptly to information requests and meeting invitations, as effective communication is crucial to the consulting relationship between Fribba Networks and the Client.

Payment Terms

Fribba Networks invoices services monthly in advance. Payment is due within 15 days of invoicing. Payments made more than 30 days after invoicing are subject to a late fee of 1.5% per month. A $50 fee will be charged for returned checks.

Limitation of Liability and Indemnity – Security Incidents

Fribba Networks is not responsible for any security breaches on servers or accounts. If your systems are compromised and this affects others, you must notify Fribba Networks immediately. We reserve the right to take necessary actions, including isolating and blocking the source of the breach.

Monitoring User Activity

Fribba Networks does not monitor its customers’ activities and is not liable for any breaches of this agreement or for the content distributed via our services. We are also not liable for unauthorized access to, alteration, theft, or destruction of information, whether through accident or fraudulent means.

Service Interruptions

Fribba Networks is not liable for temporary delays, outages, or interruptions of services. Delays or failures due to unforeseen circumstances beyond our reasonable control, such as mechanical or electronic failures, are not grounds for liability.

Data Loss

Fribba Networks is not liable for any loss of data. Clients are responsible for maintaining their backups and must periodically audit these backups.

Customer Indemnity
You agree to indemnify and hold harmless Fribba Networks and its affiliates from any third-party claims, damages, or expenses arising from your breach of this agreement or the actions of your users or customers.

Search Engine Changes

Fribba Networks is not responsible for changes to search engine criteria that may affect the visibility of your website. While we follow best practices, we cannot be held liable for changes made by search engines or alterations to your website by third parties.

No Guarantee of Results

Fribba Networks does not guarantee specific results from our services as search engine algorithms can change unpredictably.

Consulting Hours

Consulting hours are limited to the amount agreed upon in your service contract and do not roll over monthly. Additional hours beyond the contracted amount will be discussed and billed at $200 per hour.

Third-Party Products

Fribba Networks may provide access to third-party products through vendors. We make no warranties about third-party products and are not responsible for any breaches of license agreements related to these products.

Payment of Fees

Late payments are subject to a 1.5% monthly fee. Non-payment may result in termination of services.

Disputes – Governing Law

This agreement is governed by the laws of New York. Disputes are to be resolved through mediation in Westchester County, New York, according to the American Arbitration Association’s procedures. If litigation is necessary, jurisdiction falls within Westchester County, New York.

Changes to Terms of Service

Fribba Networks may revise these terms and will provide at least 10 business days’ notice before they take effect. Continued use of our services after changes means acceptance of the new terms. Fribba Networks may terminate service agreements with 30 days’ notice.
